terms and conditions

Nobody Left Behind Coaching

A program of American Heroes Association

Effective Date: August 29, 2026     Last Updated: August 29, 2026

These Terms and Conditions (“Terms”) govern your access to and use of Nobody Left Behind Coaching, including our website, scheduling tools, digital materials, group sessions, one-on-one coaching, the Open Chair Project, and any related services (together, the “Services”).

“NLB Coaching,” “we,” “us,” and “our” mean Nobody Left Behind Coaching, operated by American Heroes Association (“AHA”), a California organization. “You” means the person or organization using the Services. “Coach” means a person authorized by us to deliver coaching. “Client” or “Coachee” means the person receiving coaching.

By using the Services, creating an account, booking a session, checking a box that you agree, or clicking “I Agree,” you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

These Terms are a working draft for publication after you insert the bracketed contact details and have counsel review them. They are not legal advice.

1. Who these Services are for

The Services are designed for veterans, military families, caregivers, and others who want structured coaching support. You must be at least 18 years old and able to enter a contract under California law. If you book Services for someone else, you represent that you have authority to bind that person or organization.

We do not knowingly collect personal information from children under 13.

2. What coaching is — and is not

NLB Coaching provides coaching, mentoring, accountability, and peer support. Our Coaches work with you on goals you set — purpose, work, relationships, habits, transition, and community.

Coaching is not therapy, counseling, psychiatry, medical care, legal advice, financial advice, or disability representation. Coaches do not diagnose or treat PTSD or any other condition.

If you are in crisis, call 911 or contact the 988 Suicide & Crisis Lifeline. If you need clinical care, we will encourage you to work with a licensed professional. Using the Services does not create a therapist–patient, attorney–client, or fiduciary relationship.

3. Accounts and bookings

You are responsible for the accuracy of the information you give us and for keeping login credentials confidential. Notify us promptly at [hello@nobodyleftbehindcoaching.com] if you believe your account has been used without permission.

A booking is confirmed when we send a confirmation or when the session appears on your schedule. You agree to show up on time and to treat Coaches and other Participants with respect.

4. Sessions, rescheduling, and no-shows

Unless your order says otherwise:

  • Virtual one-on-one sessions may be rescheduled with at least 24 hours’ notice. Later cancels and no-shows are forfeited.
  • In-person sessions may be rescheduled with at least 14 days’ notice. You are responsible for any non-refundable travel already incurred.
  • Group sessions may be rescheduled by us with notice. We are not required to offer a makeup for an individual absence from a group.
  • Unused sessions in a package do not roll over past the package end date unless we agree in writing.

Complimentary Open Chair Project seats are a gift, not a prepaid commercial package. Missed complimentary sessions are not a refundable credit. We may set eligibility and waitlist rules.

5. Fees, payment, and automatic renewal

Prices are stated before you pay. Applicable California sales tax will be added unless you provide a valid exemption. Invoices are due as stated on the order, or within 30 days if no date is stated. We may pause Services if your account is past due.

If you buy a membership or other auto-renewing plan, we will disclose that it continues until you cancel, the recurring amount and frequency, and how to cancel — clearly, before you pay — and we will obtain your express yes to those renewal terms. You will receive a confirmation you can keep. You may cancel by the same method you used to enroll, including [account settings / email].

For plans with an initial term of one year or longer, we will send a reminder 15 to 45 days before renewal. For a free or discounted trial longer than 31 days that converts to paid, we will send notice 3 to 21 days before the trial ends. We will also send an annual reminder of the plan, the charge, and how to cancel, as required by California Business and Professions Code §§ 17600–17606.

Refunds are provided only as stated on the order or as required by law. Digital materials that have been accessed are generally not refundable.

6. Coaches

Coaching is delivered by Coaches, not trainers. A Coach may be an AHA-rostered professional or, for organizational clients, a Client employee we have qualified.

Where a Program requires Qualification, the Coach must complete a Coach Qualification Session. Qualification belongs to the named Coach and cannot be handed to someone else. Coaches must use current NLB Coaching materials, follow the coaching design, keep appropriate confidentiality, and stay inside the licensed audience.

Unless a written employment agreement says otherwise, a Coach is not your employee and is not authorized to bind NLB Coaching or AHA to other contracts. When a qualified Coach leaves an organizational Client, Coach Materials must be returned and that person must stop delivering the Program outside that Client unless we agree in writing.

7. Client and organizational purchases

If you buy seats or a cohort for an organization, you agree to:

  • Purchase Coach Materials for each Coach and Client Materials for each Participant.
  • Make sure your Coaches receive and follow these Terms.
  • Allow us to observe a session on written notice, including review of materials used in that session.
  • Not resell the Program as a standalone commercial training product.

Modifications to Coach Materials or Client Materials require our prior written consent.

8. Acceptable use

You agree not to:

  • Use the Services in violation of law.
  • Harass a Coach, staff member, or other Participant.
  • Record, copy, or publicly post a session without written consent.
  • Share logins or purchased digital seats.
  • Scrape the site or feed our curriculum into a public AI system in order to recreate the Program.
  • Impersonate another person or misrepresent your service history or credentials.

We may suspend or terminate access for violation of these Terms.

9. Intellectual property

The site, curriculum, workbooks, videos, assessments, logos, and related content are owned by AHA or its licensors and are protected by U.S. copyright and trademark law. We grant you a limited, revocable, non-transferable license to use purchased or sponsored materials only for your own participation (or, for a qualified Coach, only to deliver the Program to the licensed audience).

“Nobody Left Behind Coaching,” “Nobody Left Behind,” “Open Chair Project,” and “American Heroes Association” are marks we claim. You may not use them to suggest we sponsor or employ your independent practice unless we have given you a written license.

To request permission to use our content, email [permissions@nobodyleftbehindcoaching.com].

If you believe material on the site infringes your copyright, send a DMCA notice to [dmca@nobodyleftbehindcoaching.com] with the information required by 17 U.S.C. § 512.

10. Confidentiality and privacy

Coaches treat session content as confidential, subject to law (including mandatory reporting and court order) and to our need to supervise Coaches. Session information will not be used as the sole basis for employment, benefits, or fitness-for-duty decisions.

Our collection and use of personal information is described in our Privacy Policy. If you are a California resident, you may have rights under the California Consumer Privacy Act, as amended by the CPRA, including the right to know, delete, correct, and opt out of the sale or sharing of personal information. Use the “Do Not Sell or Share My Personal Information” link on the site or email [privacy@nobodyleftbehindcoaching.com].

Cookie choices are presented in our cookie banner: Accept All, Reject All / Necessary Only, and Customize.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant specific life outcomes, employment results, or that the site will be uninterrupted or error-free.

If you are a California consumer, nothing in these Terms limits non-waivable rights under the Consumer Legal Remedies Act, the Unfair Competition Law, or the False Advertising Law.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NLB COACHING, AHA, AND THEIR OFFICERS, COACHES, AND VOLUNTEERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). Complimentary Open Chair seats are provided without charge; our liability for those seats is limited to the fullest extent California law allows.

These limits do not apply to fraud, willful injury to person or property, or liability that California law does not allow to be limited.

13. Indemnity

You will defend and indemnify NLB Coaching and AHA against third-party claims arising from your misuse of the Services, your User Content, or your violation of these Terms or law, including reasonable attorneys’ fees.

14. California Civil Code § 1542

IF YOU ARE A CALIFORNIA RESIDENT AND YOU GIVE US A GENERAL RELEASE, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

15. Disputes

These Terms are governed by California law, without regard to conflict-of-law rules.

Before filing a claim, email [legal@nobodyleftbehindcoaching.com] a short description of the dispute and allow 30 days to resolve it. Either party may bring an individual claim in small claims court in the California county where you live or where AHA has its principal California place of business.

Except for small-claims matters and claims to protect intellectual property, disputes will be resolved by binding individual arbitration administered by AAA. If you are a California consumer and the dispute arises in California, arbitration will be held in California and California law will apply to the merits. You may opt out of arbitration within 30 days after you first agree to these Terms by emailing [legal@nobodyleftbehindcoaching.com].

You and we agree to bring claims only in an individual capacity, not as part of a class or representative action, except that you may seek public injunctive relief in court if that waiver is unenforceable under California law. Court actions that are not arbitrated will be brought in the state courts of Riverside County, California, or the U.S. District Court for the Central District of California.

16. Changes and termination

We may update these Terms by posting a new version and changing the Last Updated date. Material changes to auto-renewal terms will be noticed as required by law. Continued use after the effective date means you accept the revised Terms, except that a material change to the arbitration section will not apply to a dispute we already knew about.

You may stop using the Services at any time. We may suspend or end access if you violate these Terms, if required by law, or if we discontinue a Program. Sections that should survive (including IP, disclaimers, liability limits, indemnity, and disputes) will survive.

17. General

If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in a merger or transfer of assets. These Terms, the Privacy Policy, and the applicable order are the entire agreement regarding the Services.

Honest consumer reviews of our Services are welcome. We will not restrict or penalize you for posting a lawful review (California Civil Code § 1670.8).
